What is CLM software?

CLM means Contract Lifecycle Management, or contract lifecycle management. CLM software does more than store PDFs: it structures requests, drafting, negotiation, approval, signature, execution, obligation tracking, renewal or termination, and archiving.

The contract becomes a structured business object with parties, clauses, status, owners, dates, versions, and follow-up actions. Market CLM platforms already cover drafting, workflows, negotiation, signatures, obligations, and CRM or ERP integrations.

What is the difference between DMS, e-signature, and CLM?

A DMS, or Document Management System, mainly organizes files: storage, filing, search, permissions, and sometimes versions. An e-signature platform manages signature collection and related evidence.

CLM orchestrates the full contract process: why the contract was created, who approved it, which clauses changed, which version was signed, when it expires, and which obligations remain. The three building blocks can be connected rather than replaced.

How do you structure a contract record instead of only storing a PDF?

Each contract should have a record independent from the document: contract type, legal entity, counterparty, internal owner, department, dates, term, renewal, notice period, amount, currency, special clauses, risk level, version, status, amendments, files, and obligations.

This metadata makes operational questions possible, such as which supplier contracts exceed €100,000 and expire within six months. The document remains the legal source, while structured data makes it operationally usable.

How should a contract request be organized?

The process starts before drafting with a structured request: contract type, entity, partner, amount, purpose, country, personal data, subcontracting, term, and urgency.

The answers then determine the workflow. A standard NDA with an approved template and no amount may be generated directly, while a high-value supplier contract involving sensitive data and a non-EU country may involve legal, privacy, procurement, and management. Rules should be explicit instead of embedded in a fixed approver chain.

How do you generate contracts automatically from templates?

Recurring contracts can be generated from structured templates with variables such as company, address, amount, and start date. The most valuable part is usually conditional content.

If a contract involves personal data processing, a GDPR appendix can be added. If the term exceeds 24 months, a price review clause can be applied. The template becomes an assembly of data, clauses, and conditional rules.

How do you build a contract clause library?

A clause library centralizes legal-approved wording. Each clause can retain its title, text, contract type, country, language, version, effective date, legal owner, variants, and risk level.

A liability clause can therefore have a preferred position, an acceptable fallback, and a position forbidden without approval. Deviations from the playbook can be detected and routed to the right people.

How do you manage negotiation and redlining?

Redlining means proposed changes during contract negotiation. A CLM should retain the initial version, intermediate versions, each author, comments, negotiation status, and the version actually signed.

The goal is to prevent a version containing a previously rejected clause from being sent for signature by mistake. Document history must therefore be connected to status and approvals, not simply piled into a folder.

How do you automate contract approvals?

Approvals can depend on amount, legal risk, processed data, access to information systems, or supplier importance. A standard contract may pass directly, while a modified liability clause may require legal review.

The logic should be configurable and versioned so it is possible to explain why a contract followed a given route at a given date. The workflow engine should retain decisions, exceptions, and ownership.

How do you manage signing authority?

The fact that a user can approve a contract does not necessarily mean they can legally bind the company. CLM must therefore distinguish the approval workflow from signing rules.

The rules must reflect actual signing delegations, such as a business unit director below a threshold and general management above it. The application applies a company-approved matrix; it does not determine legal authority on its own.

How do you integrate e-signature?

CLM can send the approved version to an e-signature provider through an API, then retrieve status, signers, dates, the signed document, the evidence package, and the transaction identifier.

In France, Article 1367 of the Civil Code provides that an electronic signature relies on a reliable identification process ensuring its link to the instrument. The signing level should match the risk and legal context, without assuming every contract requires a qualified signature.

eIDAS 2.0: what changed?

European Regulation 2024/1183 amended the eIDAS framework and expanded trust services related to digital identity. It includes signature and seal validation, electronic time stamps, electronic registered delivery, electronic attestations of attributes, electronic archiving, and electronic ledgers.

For CLM software, this reinforces the need to distinguish operational contract management from trust services, evidence, and archiving. Koragence should not be presented as a qualified trust service provider or qualified signature provider.

How do you track expiry dates and automatic renewals?

A contract may start on January 1, 2026, last three years, renew automatically for one year, and require six months’ notice. The important termination decision date is then June 30, 2028, not only the theoretical end date.

The system should calculate this deadline and trigger alerts at 180, 120, 90, or 30 days before it, escalating when no decision has been recorded.

How do you manage contract obligations?

A signed contract is not finished. It may require a quarterly report, payment, annual certificate, audit, price review, insurance, SLA, incident notification, or minimum order threshold.

Each obligation can become an object: obligation → owner → deadline → recurrence → evidence → status. This moves from a contract sitting in SharePoint to a list of actions with clear ownership and timing.

How do you manage amendments?

An amendment should not overwrite the original contract. The system should retain the relationship between the main contract and each amendment, then record what each amendment changes: price, term, scope, obligations, SLA, or appendices.

A robust solution distinguishes the legal document from the consolidated contract state. Users see the currently applicable terms while the full history remains available.

How do you manage framework agreements and related contracts?

A framework agreement, or MSA, Master Service Agreement, can be linked to several Statements of Work, purchase orders, and amendments. The software should represent this hierarchy so a user does not review a purchase order without seeing the framework obligations.

This parent-child logic is important for groups, complex procurement, IT services, and international contracts.

How do you connect customer, supplier, and project contracts?

CLM becomes more useful when connected to the CRM, ERP, project tool, ticketing, DMS, and finance. A customer contract can link to an account and opportunity, a supplier contract to an order and invoice, and an obligation to a project or SLA.

A rule can flag or prevent a new order when a supplier contract has expired, or create a project and trigger onboarding when a customer contract is signed.

CRM, ERP, or CLM: where should each piece of data live?

Define a source of truth for each piece of information. The CRM can remain authoritative for the customer and opportunity, CLM for contract data, clauses, obligations, and versions, and the ERP for orders and billing.

CLM does not need to copy every field from other tools. It can retain an identifier such as `customer_id = 19382` and retrieve the required data through an API to limit divergence between Salesforce, ERP, and the contract.

How do you archive contracts after signature?

Distinguish storage from electronic archiving. Putting a PDF in cloud storage does not automatically provide the properties expected to preserve integrity, traceability, and long-term access.

French standard NF Z42-013, in its October 2020 published version, addresses conservation, integrity, logging, time stamping, and continuity of access in electronic archiving systems. For important evidentiary needs, CLM can transfer the final document to an electronic archiving system rather than claiming to provide every archiving function itself.

How long should contracts be retained?

There is no single retention period for every contract. Retention depends on contract type, sector, legal obligations, tax and accounting rules, limitation periods, litigation risk, and the personal data involved.

The French Commercial Code generally provides a five-year limitation period for certain commercial obligations, subject to special rules. This does not mean every contract should be deleted after five years. The CNIL reminds organizations that personal data cannot be retained indefinitely and that retention must match the purpose, with intermediate archiving where necessary.

How do you manage contract access rights?

An access matrix can combine role, entity, contract type, confidentiality level, and relationship to the record. A user may see their team’s customer contracts without seeing employment contracts or M&A matters.

Sensitive access should be logged when the risk level justifies it. The principle is to show the right information to the right role without opening the entire contract repository to every employee.

How do you log important contract actions?

An audit trail should make it possible to reconstruct who created the contract, changed data, downloaded a document, approved or rejected a version, and when it was sent or signed.

Do not confuse an application history with qualified legal evidence. The level of evidence depends on the technical and legal setup used.

How do you import thousands of existing contracts?

A clean migration usually follows inventory → deduplication → classification → metadata extraction → control → import → reconciliation. Identify signed contracts, drafts, duplicates, amendments, expired contracts, documents without signers, and appendices.

Blindly importing 20,000 files simply recreates disorder in a new tool. Migration should combine automation, classification rules, and human validation for ambiguous cases.

Can AI be used to read existing contracts?

Yes. A model can help extract parties, dates, term, renewal, notice period, governing law, amount, obligations, liability clauses, confidentiality, and termination. CLM platforms already use AI to accelerate this work.

Each important result should remain linked to the source document, its location, and, where possible, a confidence level. A critical deadline extracted by AI should receive risk-appropriate human validation.

Can AI be used to analyze clauses?

Distinguish deterministic comparison, such as checking whether a clause belongs to the approved library, from semantic analysis of unusual liability. The first is easier to verify; the second should remain review assistance.

The system can suggest detected clause, standard position, deviation, approved fallback, and legal review. AI accelerates reading, but does not become autonomous legal advice.

How do you avoid sending confidential contracts to an arbitrary AI model?

Before using an external model, review the provider, offer, processing terms, retention, possible training use, hosting region, subprocessors, access controls, and logs.

Contracts may contain personal data, commercial information, or trade secrets. An architecture may therefore separate documents allowed for AI processing from those requiring another environment. The decision depends on the provider’s actual terms and the subscribed contract.

How do you manage multiple companies, countries, or languages?

Each contract should be attached to the correct legal entity. Rules may differ by entity, country, language, currency, approvers, legal template, and signing delegations.

The software should prevent a subsidiary user from generating a contract in the holding company’s name or using a clause approved only for another country.

Which contract dashboards are actually useful?

A useful dashboard is not limited to the number of contracts. It shows renewals due in 30, 60, 90, or 180 days, committed value by supplier or customer, risky contracts, and overdue obligations.

It can also track time from request to first draft, approval time, stages where contracts are blocked, and concentration of commitments with a single supplier.

Which KPIs should measure a contract process?

Useful metrics include contract cycle time, or time from request to signature, time to first draft, approval time, touchless rate, renewal visibility, and obligation completion rate.

The non-standard clause rate and blocked stages complete the picture. Reducing negotiation time blindly can be counterproductive if the contract becomes faster but less protective.

SharePoint, Docusign, Icertis, or custom CLM software?

SharePoint or a DMS fits when the main problem is storing, searching, and controlling permissions. A standard CLM platform fits when its configurable capabilities properly cover the company’s process.

Custom software becomes relevant when the difficulty comes from a highly specific workflow, legacy integrations, many entities, particular internal rules, a partner portal, or an existing business application.

Custom is not automatically better. If Docusign, Icertis, Ironclad, or another solution cleanly covers 90% of the need, integrating the standard product may be more rational than rebuilding a complete CLM.

How do you calculate whether CLM is profitable?

Measure the current state: contract volume, re-entry time, follow-ups, searches, missed renewals, unapplied discounts, suppliers not terminated, and legal time spent on standard contracts.

The business case should distinguish administrative time saved from better controlled risks and commitments. One missed renewal or unavailable contract version can matter more than many hours of filing time.

How much does custom contract management software cost?

Price depends far more on workflow than on the number of PDFs. Main building blocks include repository, drafting, clauses, approvals, negotiation, signature, obligations, CRM/ERP/DMS integrations, migration, and optional AI.

A contract repository with deadlines is very different from a full CLM platform covering several countries and thousands of contracts per year. We do not provide an artificial range without sufficient references for this specific type of engagement.

How does Koragence structure a contract management project?

The project starts with a map of existing contracts, templates, participants, and decisions made at each stage. The variants actually used are identified before designing the target workflow.

We distinguish structured data, legal documents, approval rules, and the systems that must remain authoritative. One contract type can be handled end to end before the setup is gradually expanded.

Deployment usually follows inventory → contract model → workflow → templates and clauses → signature → obligations → integrations → migration → testing → deployment.
